Terms and Conditions

1. Scope of Services

Cliffside Cuts provides professional video editing services including, but not limited to, cutting, sequencing, color grading, sound design, music selection, stabilization, and delivery of final video assets based on the agreed project scope. Services do not include footage acquisition, on-site production, or raw footage capture unless explicitly stated in writing.

2. Project Timeline

Turnaround times are estimated in good faith and may vary depending on project complexity, footage quality and length, client responsiveness, and volume and clarity of feedback. Delays caused by late materials, unclear direction, or delayed feedback may extend delivery timelines.

3. Revisions

Cliffside Cuts includes one (1) client revision phase per project. A “revision phase” is defined as a single, consolidated list of reasonable changes submitted at one time. This revision phase applies collectively to all stakeholders, including but not limited to the direct client, agents, brokers, marketing teams, and third-party stakeholders. All stakeholders must internally consolidate their feedback before submission.

Any additional revision phases beyond the first will be billed at a flat rate of $50 USD per revision phase. Any feedback submitted after the first client revision phase, regardless of size or scope, will automatically be considered an additional revision phase.

Revision requests must be submitted within seven (7) days of video delivery. After this period, the project will be considered closed and no further revisions will be accepted unless treated as a new project and quoted separately.

Once the video is accepted by the Client or Agent, the project is considered final and no further revisions will be accepted. Requests that significantly change the original creative direction, structure, format, or scope of the project may be treated as a new project and quoted separately.

4. Out-of-Scope Work

The following are considered out-of-scope and subject to additional fees: additional revision phases, major creative reworks, new concepts after initial delivery, re-editing based on new footage, changing style or pacing after approval, and format changes not originally agreed upon.

5. Payment Terms

Payment terms are agreed upon prior to project commencement. Full payment is required before final delivery unless otherwise stated in writing. Cliffside Cuts reserves the right to pause or withhold deliverables on overdue invoices.

6. Client Responsibilities

The Client is responsible for providing all necessary materials in a timely manner, supplying clear creative direction upfront, consolidating all stakeholder feedback, and responding to communications promptly. Delays in providing materials or feedback may result in project delays.

7. Creative Discretion

Cliffside Cuts maintains creative discretion unless stated otherwise over editing style, pacing, music selection, color grading approach, and transitions and effects. Edits are produced based on professional judgment and industry standards.

8. File Storage and Archiving

Cliffside Cuts will retain project files until the video has been approved and accepted by the Client or Agent. Once the video is accepted, all working project files and source footage may be deleted. Cliffside Cuts is not responsible for file retention, backups, or future access to project materials after acceptance unless otherwise agreed in writing.

9. Usage Rights

Upon full payment, the Client receives full usage rights for delivered content. Cliffside Cuts reserves the right to display finished projects for portfolio, website, social media, and promotional purposes unless otherwise requested in writing.

10. Cancellation and Termination

If a project is cancelled after work has begun, the Client is responsible for payment of work completed up to the cancellation date. Deposits are non-refundable once production has started.

11. Limitation of Liability

Cliffside Cuts is not liable for loss of revenue or business, platform performance or algorithm results, marketing outcomes or conversion rates, or third-party platform issues. All services are provided on a best-effort creative basis.

12. Acceptance of Terms

By engaging Cliffside Cuts and submitting materials for editing, the Client confirms acceptance of these Terms and Conditions.
